CHANNEL PARTNER PROGRAM ENROLLMENT
Axis Communications’ Channel Partner Program is designed to help channel partners capitalize on Axis’ market leadership in the fast-growing network video market. We view our partners as an extension of our team, playing a key role in the go-to-market strategy and the overall success of our company. Axis is committed to helping you succeed by providing you with extended resources, services and benefits to grow your long-term business opportunities. Use our knowledge and training to maintain your competitive advantage and best serve your customers.
The Axis Channel Partner Program is open to value-added resellers, system integrators, and complete solution providers currently doing or wanting to do business with an Axis distributor.
The Channel Partner Program offers three levels of membership: Authorized, Solution Silver, and Solution Gold. Once your enrollment is accepted by Axis, we welcome you into the program as an Authorized partner! At this level, requirements are minimal and Axis offers a variety of benefits to help get you off to a successful start.
PARTNER REQUIREMENTS
Partners are required to meet a sales standard and an Axis training/certification standard. Please review the following requirements for each partner membership level. Your partner level advancement and maintenance is subject to the following pre-requisites.
General requirements for membership
- The Partner will place all orders through an authorized Axis Communications distributor.
- The Partner must be able to offer on-site installation and first line support.
- The Partner will not sell/advertise Axis products exclusively through the Worldwide Web.
- Only resellers and system integrators are eligible for the program, Partners may not appoint sub-Partners or engage in wholesale activity but will sell directly to end customers only.
- The Partner agrees not to advertise any Axis branded/sourced product on the Worldwide Web below MSRP.
- The Partner should serve more than one buying customer.
- The Partner buys and sells the products in its own name and for its own account. The Partner acts as an independent trader in relation to Axis and the customers and is not authorized to act in the name of Axis.
- The Partner must be able to provide a total solution, which includes Axis products, Axis or third party video management software and additional accessories, such as enclosures and other hardware.
- The Partner must ensure that the Partner and all persons associated with the Partner comply with all applicable anti-corruption legislation, including the anti-bribery legislation of the states where it is active, the UK Bribery Act and the US Foreign Corrupt Practices Act.
- The Partner must ensure that the Partner and all persons associated with the Partner comply with all applicable export control and sanctions laws. Furthermore:
a. The Partner acknowledges that Axis Thermal Cameras 30 fps generally require a license or other authorization from the U.S. Department of Commerce’s Bureau of Industry and Security (BIS) to (re)export or transfer (in-country). In addition, a BIS export control license is required for Axis Thermal Cameras 8.3 fps when destined for a “military end-user” or if incorporated into certain “military commodities” as defined in section 772 of the Export Administration Regulations (EAR). The Partner must obtain any required authorizations to (re)export or transfer (in-country) and must inform any subsequent recipient that the items are controlled for purposes of the EAR.
b. The Partner shall not (re)export or otherwise transfer any Axis items to (i) countries or territories subject to U.S. and EU comprehensive sanctions, (ii) to persons subject to sanctions or export restrictions maintained by the U.S. Government, or (iii) persons who intend to use the products or related technical data in any activity related to the design, development, production, stockpiling or use of missiles or chemical, biological or nuclear weapons.
Authorized Partner
- The Partner is not required to meet any revenue minimums
- The Partner is not required to have any Axis Certified Professionals on staff
- Axis Communications Academy training is recommended
Solution Silver Partner
- The Partner must purchase a minimum of $20,000 MSRP per quarter of Axis products
- The Partner is required to maintain a minimum of one (1) Axis Certified Professional on staff per country
- The Partner can provide end customers with complete solutions and demonstration equipment
- The Partner provides Axis with feedback on a regular basis
Solution Gold Partner
- The Partner must purchase a minimum of $40,000 MSRP per quarter of Axis products
- The Partner is required to maintain a minimum of two (2) Axis Certified Professionals on staff per country
- The Partner can provide end customers with complete solutions and demonstration equipment
- The Partner provides Axis with feedback on a regular basis
Please note that Axis reserves its right to amend the above requirements at any time, which amendments will be communicated to you in writing (either by e-mail or regular post) and effective immediately upon the notification. You will be responsible for reviewing and becoming familiar with any such amendments. If you do not agree with
any amendments, you are requested to exercise your right to terminate your participation in the Program (see below).
LIMITATION OF LIABILITY
UNDER NO CIRCUMSTANCES WILL AXIS BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES OF ANY KIND OR NATURE WHATSOEVER, WHETHER BASED ON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING OUT OF OR IN ANY WAY RELATED TO YOUR PARTICIPATION IN THE PROGRAM, EVEN IF ADVISED ON THE POSSIBILITY OF SUCH DAMAGE OR IF SUCH DAMAGE COULD HAVE BEEN REASONABLY FORESEEN, AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY EXCLUSIVE REMEDY PROVIDED. SUCH LIMITATION OF DAMAGES INCLUDES, BUT IS NOT LIMITED TO, DAMAGES FOR LOSS OF GOODWILL, LOSS OF PROFIT, REVENUE OR PRODUCTION, INTEREST ON INVESTMENTS, COST OF CAPITAL, LOSS OF DATA OR SOFTWARE, COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS, EQUIPMENT OR SERVICES, DOWNTIME COSTS, CLAIMS OF CUSTOMERS, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION OR IMPAIRMENT OF OTHER GOODS. IF, NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN, AXIS IS FOUND TO BE LIABLE TO YOU FOR ANY DAMAGE OR LOSS THAT ARISES OUT OF OR IS RELATED TO YOUR PARTICIPATION IN THE PROGRAM, AXIS’ ENTIRE LIABILITY UNDER THIS PROGRAM SHALL BE LIMITED TO ONE THOUSAND (1000) USD.
Privacy
Under this Channel Partner Program, Axis may use, store, organize and otherwise process certain personal data relating to Partner’s employees, for the purpose of directing commercial messages and marketing relating to Axis’ products and services to the employee. Processing of personal data may include the transfer of such data to other Axis’ affiliates, or to third party companies providing marketing services to Axis, in which case such third party will be required to maintain the confidentiality of the personal data and be prohibited from using the data for any other purposes than providing services to Axis (including Axis’ affiliates).
Please note that personal data processed by Axis in accordance herewith will include only such information that has been submitted to Axis by Partner within the scope of this Channel Partner Program, for example the employee’s name, title, position within the Partner’s organization, company phone number and company email address. Partner hereby authorizes Axis to process such personal data and undertakes to ensure, if so required under applicable data protection legislation, that its employees have consented to such processing. An employee may at any time request Axis to cease the processing of his or her personal data. Further, any commercial messages sent by Axis to the employee’s company email will include a clear explanation of how the employee can opt out of getting emails from Axis in the future.
Joining Axis Channel Partner Program
In order to receive the benefits as an Axis Partner, all the requirements outlined for the respective levels above must be met. If the Partner fails to meet any of the respective requirements, Axis may immediately transition the Partner to the appropriate Partner level or terminate the partnership.
Either party can terminate this Channel Partner relationship at any given time by giving written notice. Should any dispute arise between Axis and the Partner, such dispute shall be resolved by using the laws of the Commonwealth of Massachusetts as governing law.
This enrollment form shall be executed in the English language. Notwithstanding anything to the contrary herein, in case of any conflict between the English version and the translated version of this enrollment, the English version shall prevail and shall be used in any interpretation of this enrollment form and any matters arising out of same.
